    These Terms and Conditions (“Terms”) govern your access to and use of the website www.examrehearsal.com (the “Site”) and the online examination revision platform and related services (collectively, the “Services”) provided by GRM Solutions Limited (“we”, “us”, “our” or “Exam Rehearsal”), a New Zealand company. The Services include practice tests for high school exams, college entrance tests, professional certifications, and other educational assessments organised by continent and country.

    By accessing or using the Site or Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Site or Services.

    1Definitions

    Account: A registered user account on the Site.

    Content: All practice tests, questions, answers, explanations, and other educational materials made available through the Services.

    Personal Information: Information about an identifiable individual as defined in the Privacy Act 2020 (NZ).

    User, you, or your: Any individual or entity accessing or using the Site or Services.

    Your Content: Any content you upload, submit, or transmit through the Services (e.g., test responses or feedback).

    2Eligibility and Accounts

    You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Services. If you are under 18, you may need parental or guardian consent in some cases.

    To access paid tests or save progress, you must create a free Account. You agree to:

    • Provide accurate, current, and complete information.
    • Maintain the security of your password and notify us immediately of any unauthorised use.
    • Be responsible for all activity under your Account.

    We reserve the right to suspend or terminate Accounts that violate these Terms.

    3Services and Licence

    The Services allow you to browse, purchase, and complete practice tests with unlimited retakes for 12 months from purchase (unless otherwise stated). Tests have no time limits and are created by certified educators.

    Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services and Content solely for your personal, non-commercial educational purposes.

    You must not:

    • Copy, reproduce, modify, or create derivative works of the Content (except for your own test responses).
    • Share, resell, or distribute tests or answers.
    • Use the Services for any commercial purpose or to develop competing products.
    • Attempt to reverse-engineer, decompile, or circumvent any technical protection measures.

    4Purchases and Payments

    Prices are listed on the Site (typically NZD $2.50–$9.95 per test). All prices are inclusive of GST unless stated otherwise. Purchases are non-refundable except as required by the Consumer Guarantees Act 1993 (NZ) or where we otherwise agree in writing.

    We use third-party payment processors. You agree to their terms and that we are not responsible for their acts or omissions. We do not store full payment card details.

    5Intellectual Property

    All Content, the Site, and the Services (including logos, designs, and software) are owned by us or our licensors and protected by New Zealand and international copyright, trademark, and other intellectual property laws.

    You retain ownership of Your Content but grant us a worldwide, royalty-free, perpetual licence to use, modify, and display it as necessary to provide and improve the Services.

    6User Conduct and Acceptable Use

    You agree not to:

    • Upload or transmit harmful code, viruses, or material that infringes third-party rights.
    • Harass, defame, or impersonate others.
    • Cheat on tests or share answers in a way that undermines the educational purpose.
    • Scrape, crawl, or data-mine the Site.
    • Use the Services in any way that violates applicable laws.

    We may monitor usage and remove any content that violates these Terms.

    7Privacy and Data Protection

    We are committed to protecting your Personal Information in accordance with the Privacy Act 2020 (NZ) and its 13 Information Privacy Principles (IPPs).

    7.1 Information We Collect

    We collect:

    • Account and contact details: Name, email address, password, country/region.
    • Usage and performance data: Test responses, scores, progress, timestamps, and device/IP information.
    • Payment-related information: Processed by third-party providers (we do not store full card details).
    • Cookies and analytics: To improve the Site (see our cookie practices below).
    • Other: Feedback, support requests, or information you voluntarily provide.

    7.2 Purpose of Collection

    We collect and use Personal Information to:

    • Provide, personalise, and improve the Services (e.g., saving test progress).
    • Process payments and manage Accounts.
    • Communicate with you (e.g., account notifications, updates).
    • Analyse usage for product improvement (de-identified where possible).
    • Comply with legal obligations or enforce these Terms.
    • Send marketing (only with your consent, which you can withdraw anytime).

    You are not required to provide Personal Information, but failure to do so may prevent you from using certain Services.

    7.3 Disclosure of Personal Information

    We do not sell Personal Information. We may disclose it to:

    • Third-party service providers (e.g., hosting, payment processors, analytics) who are contractually bound to protect it and use it only for the purposes we specify.
    • Professional advisers or as required by law (e.g., court order).
    • In the event of a business sale or merger (with protections in place).

    If we transfer Personal Information outside New Zealand, we ensure comparable safeguards are in place as required by IPP 12.

    7.4 Security and Retention

    We implement reasonable security safeguards (technical, organisational, and physical) to protect Personal Information against loss, misuse, or unauthorised access (IPP 5). However, no system is completely secure.

    We retain Personal Information only as long as necessary for the purposes above or as required by law. You may request deletion (subject to legal exceptions).

    7.5 Your Rights (Access, Correction, and Complaints)

    Under the Privacy Act 2020 you have the right to:

    • Access your Personal Information.
    • Request correction of inaccurate information.
    • Request erasure or restriction in certain circumstances.
    • Withdraw consent for direct marketing.

    Requests are free or subject to a reasonable charge. We respond as soon as practicable (usually within 20 working days).

    Notifiable Privacy Breaches: If a privacy breach is likely to cause serious harm, we will notify the Office of the Privacy Commissioner and affected individuals as soon as practicable (as required by sections 112–117 of the Privacy Act 2020).

    7.6 Cookies and Tracking

    We use cookies and similar technologies for functionality, analytics, and (with consent) advertising. You can manage preferences via your browser settings. Our Site may use Google Analytics or similar tools—see their privacy policies for details.

    Important: This section forms part of our Privacy Policy. We may update it and will notify you of material changes.

    8Disclaimers

    The Services and Content are provided “as is” and “as available”. We do not guarantee:

    • That tests will match official exams exactly.
    • Specific exam results or pass rates.
    • Continuous, error-free, or uninterrupted access.

    We disclaim all warranties to the maximum extent permitted by law, including merchantability and fitness for purpose. The Services are educational tools only and do not replace official study or professional advice.

    9Limitation of Liability

    To the maximum extent permitted by New Zealand law (including the Consumer Guarantees Act 1993), our total liability to you will not exceed the total fees you paid for the relevant test in the 12 months preceding the claim.

    We are not liable for indirect, consequential, or incidental damages (including lost profits, data loss, or exam failure) even if advised of the possibility.

    10Indemnification

    You agree to indemnify and hold us harmless from any claims, losses, or damages arising from:

    • Your breach of these Terms.
    • Your use of the Services.
    • Your Content.

    11Termination

    We may suspend or terminate your Account or access at any time for breach of these Terms or for any other reason. You may terminate by closing your Account or stopping use.

    Upon termination, your licence ends, but sections on IP, liability, indemnification, and governing law survive.

    12Changes to Terms or Services

    We may update these Terms or the Services. Material changes will be notified via the Site, email, or Account notice. Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Services.

    13Governing Law and Dispute Resolution

    These Terms are governed by the laws of New Zealand. Any disputes will be subject to the exclusive jurisdiction of the courts of New Zealand.

    14General

    Severability: If any provision is invalid, the rest remain in force.

    No Waiver: Failure to enforce a right does not waive it.

    Entire Agreement: These Terms (including the Privacy section) constitute the entire agreement.

    Assignment: You may not assign these Terms; we may assign to affiliates or in a business transfer.
